Experience
Louis has more than 11 years of international experience and knowledge, having acted for public and private companies in the United Kingdom, the United States and Australia.
Louis advises clients on a diverse range of corporate and commercial matters, encompassing all aspects of domestic and international acquisitions, takeovers, listings, capital raisings, joint ventures and other commercial agreements and transactions, with particular experience advising clients in the resources industry.
Prior to joining Talbot Olivier, Louis worked for 5 years as a solicitor in London with global law firm Freshfields Bruckhaus Deringer and with US law firm Morrison & Foerster. Louis then moved to Perth and was a senior associate with Cochrane Lishman (now Clifford Chance), specialising in mergers and acquisitions.
Louis is a graduate of the Australian Institute of Company Directors (GAICD).
Career highlights
- Advised Proteus Engineers Group with regard to the sale of the business of Proteus to Tetra Tech Inc.
- Advised Scottish energy group, Global Energy, in its acquisition of a controlling share in Australian oil and gas services provider, GRN Australiasia Pty Ltd.
- Advised an ASX listed resources company on a recommended A$3.1 billion takeover by an international mining company.
- Advised CopperCo Limited (ASX: CUO) on an A$420 million merger with Mineral Securities Limited (ASX and AIM: MXX).
- Advised an ASX listed resources company on its successful defence against an unsolicited takeover bid by another ASX listed resources company.
- Advised an ASX listed resources company on a proposed merger with another ASX listed resources company.
- Advised Future Internet Technologies (AIM: FTI) now Artilium plc (LSE: ARTA) on the acquisition of Artilium NV and an associated domain name, capital reorganisation and admission to trading on AIM.
- Advised BioFocus plc on the recommended €30 million takeover by Galapagos NV.
- Advised Invensys plc (LSE:ISYS) on the sale of its Metering and Powerware divisions.
Qualifications: Master of Laws LLM (Corporate and Commercial Law), Bachelor of Laws LLB.
Admitted to practice: 2002 in England and Wales, 2008 in Western Australia and New South Wales.
Memberships: Law Society of Western Australia, Law Society of England and Wales, Australian Institute of Company Directors.
Publications: Louis is regularly involved in advising public and private companies, and presenting seminars, on all aspects of the Personal Property Securities Act 2009 and the impact it will have on the giving and receiving of security in Australia.
